Terms of Service

Welcome to ConnectCircle.co (the "Site"), a platform for connecting professionals and promoting collaboration. These Terms of Service ("Terms") govern your use of the Site and the services offered through the Site (the "Services"). By accessing or using the Site or the Services, you agree to be bound by these Terms. If you disagree with these Terms, you may not use the Site or the Services.

Use of the Site and Services

  1. The Site and Services are intended for professionals looking to connect with others in their industry. You must be 18 years old to use the Site and Services. You are responsible for maintaining the confidentiality of your account information and for all activities under your account.

User Content

  1. You are solely responsible for any content you post on the Site, including but not limited to profile information, messages, comments, and other materials ("User Content"). You represent and warrant that you have the necessary rights to post and use your User Content and that it does not violate any applicable laws or the rights of any third party. By posting User Content on the Site, you grant ConnectCircle.co a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable, transferable right to use, reproduce, modify, create derivative works from, distribute, and display your User Content in connection with the Site and the Services.

Prohibited Conduct

  1. You agree not to use the Site or the Services to engage in any of the following prohibited activities:

(a) Violating any applicable laws, regulations, or rules;

(b) Posting or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;

(c) Impersonating any person or entity or misrepresent your affiliation with any person or entity;

(d) Collecting or harvesting any personally identifiable information, including account names and email addresses, from the Site;

(e) Posting or transmitting any unsolicited or unauthorized advertising, promotional materials, or any other form of solicitation;

(f) Interfering with or disrupting the Site or the Services or servers or networks connected to the Site or the Services, or disobeying any requirements, procedures, policies, or regulations of networks connected to the Site or the Services;

(g) Engaging in any conduct that restricts or inhibits any other user from using or enjoying the Site or the Services, or that may harm ConnectCircle.co or its users or expose them to liability; or

(h) Using any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, "data mine," or in any way reproduce or circumvent the navigational structure or presentation of the Site or the Services.

Third-Party Links and Services

  1. The Site may contain links to third-party websites or services not owned or controlled by ConnectCircle.co. ConnectCircle.co has no control over and assumes no responsibility for any third-party websites or services' content, privacy policies, or practices. You acknowledge and agree that ConnectCircle.co shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

Disclaimers and Limitations of Liability

  1. THE SITE AND THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CONNECTCIRCLE.CO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 

CONNECTCIRCLE.CO DOES NOT WARRANT THAT THE SITE OR THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE THE SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

IN NO EVENT SHALL CONNECTCIRCLE.CO BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF CONNECTCIRCLE.CO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (I) THE USE OR INABILITY TO USE THE SITE OR THE SERVICES; (II) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION, OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SITE OR THE SERVICES; (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (IV) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SITE OR THE SERVICES; OR (V) ANY OTHER MATTER RELATING TO THE SITE OR THE SERVICES.

Indemnification

  1. You agree to indemnify, defend, and hold harmless ConnectCircle.co, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from or relating to your use of the Site or the Services, your User Content, or your violation of these Terms or any applicable laws, regulations, or rules.

Termination

  1. ConnectCircle.co may terminate or suspend your access to the Site or the Services at any time, without notice, for any reason or no reason, including but not limited to your violation of these Terms or any applicable laws, regulations, or rules.

Governing Law

  1. These Terms shall be governed by and construed following the laws of the State of California, without giving effect to any principles of conflicts of law. You agree that any action at law or in equity arising out of or relating to these Terms or the Site or the Services shall be filed only in the state or federal courts in San Francisco County, California. You hereby consent and submit to the personal jurisdiction of such courts to litigate any such action.

Changes to Terms

  1. ConnectCircle.co reserves the right to modify these Terms at any time, which shall be effective immediately upon posting on the Site. Your continued use of the Site or the Services after any such modification constitutes your acceptance of the Terms.

Miscellaneous

  1. These Terms constitute the entire agreement between you and ConnectCircle.co regarding using the Site and the Services. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall be enforced to the fullest extent possible, and the remaining provisions of these Terms shall remain in full force and effect. ConnectCircle.co's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. You may not assign these Terms or any of your rights or obligations hereunder, whether by operation of law or otherwise, without the prior written consent of ConnectCircle.co. ConnectCircle.co may assign these Terms or any of its rights or obligations without your written consent.
